Terms and Conditions of Sale

These terms and conditions of sale (‘terms and conditions of sale’) apply to any order you place through the Infoshare+ Limited (“Infoshare+”) website at www.infoshareplus.com (‘the website’) or by using an order form. You must read these terms and conditions of sale carefully. By placing an order through the website, you confirm that you have read, understood and agree to these terms and conditions of sale in their entirety. If you do not agree to these terms and conditions of sale in their entirety, you must not order any product or service through the website.

Whenever you use this website to order a product or service, our website terms and conditions will apply to your use of the website in addition to these general terms and conditions of sale. By ordering a product or service through the website, you will be deemed also to have read, understood and agreed to our website terms and conditions.

We collate annual surveys of local authority operations in order to provide managers of the services so surveyed with information about how their activities compare with operations in similar organisations. The surveys comply with a code of conduct designed to protect the independence and impartiality of this process. Users of this data are requested to observe certain terms and conditions in order to uphold the trust authorities place in supplying the data for responsible interpretation and use.

  1. Acceptance of your order

Please note that completion of the online checkout process does not constitute our acceptance of your order. Our acceptance of your order will take place only when we dispatch the product(s) or commencement of the services that you ordered from us.

If you supplied us with your email address when entering your payment details (or if you have a registered with us), we will notify you by email as soon as possible to confirm that we have received your order.

All products that you order through the website will remain the property of Infoshare+, Infoshare+ grants to you a personal, non-transferable and non-exclusive right to use the products for your own internal business purposes only during the term of this agreement.

During the checkout process, you will be asked to complete your payment details. All fields indicated as compulsory must be completed. Please note that we will collect and store your information, using an encrypted secure payment mechanism and will only use your information in accordance with our privacy policy.

If we cannot supply you with the product or service you ordered, we will not process your order, inform you of this in writing (including email) and, if you have already paid for the product or service, refund you in full as soon as reasonably possible.

  1. Commencement and term

The service will be provided on an annual subscription basis; the subscription period will start on 1 April and end on 31 March the following year. Payment for the subscription will be due on presentation of a valid invoice.

  1. Subscription renewal

An organisation accepting a subscription renewal will be deemed to have accepted the terms of the service level agreement as set out in this schedule.

The ongoing subscription will be automatically renewed on 1 April each year unless prior notification of cancellation is received in accordance with the cancellation terms below.

  1. Cancellation

Should you wish to cancel your subscription renewal you must do so by giving one month’s notice in writing or by email before the next subscription start date. A subscriber may cancel their subscription mid-term but fees are not returnable.

If details of the intention to cancel a subscription are not received at least one month before the start date of the next subscription period, the subscription will automatically be renewed and the subscribing organisation will be liable for the full subscription fee for the new period.

Notice of intention to cancel a subscription should be sent to finance@infoshareplus.com.

  1. Subscription fees

Subscription fees will be subject to an annual price review with prices increasing by a percentage increase equal to that of the United Kingdom rate of the retail prices index as published by the Office for National Statistics plus 2%. All online subscription fees will be subject to VAT charged at the UK standard rate. All fees are payable within 30 days of the annual subscription fee invoice date.

  1. Nominated contacts

For liaison purposes each subscribing organisation should nominate a contact point for any queries concerning this subscription.

  1. Copyright and users’ rights

All copyrights, database rights and design rights subsisting in any data provided pursuant to this agreement shall vest absolutely in Infoshare+. All information provided is the copyright of Infoshare+.

These statistics are confidential information and for internal use only within the subscribing organisation. External disclosure of data or analysis without permission will give rise to an actionable breach of confidence.

Any analysis that incorporates data provided under this agreement must not be published or presented to a third party, without prior written permission from Infoshare+. Reproduction of Infoshare+ data may result in a further charge being incurred. Please contact e-mail to request use of data for this purpose.

  1. Service entitlement

The subscription is deemed to be with the employing organisation of which any member of their staff may download and distribute the data to and for analysis by any other staff employed by that organisation. Where such data are processed by sub-contractors or associates, the data may not be used for purposes other than work for the subscribing organisation.

Service provision is made available only to established employees and elected members of a single purchasing local authority. Terms for other categories of user, which includes those local authorities operating shared service arrangements, are available from Infoshare+ on request.

The data obtained during the period of the subscription may not be used in a succeeding period, unless the subscriber organisation renews the subscription. (In the event of the price of this subscription increasing, the renewal subscription may be purchased at the original price providing further online access to more recently compiled data is terminated)

Your subscription service entitlement is as stated on the enclosed subscription information sheets. While every effort will be made Infoshare+ cannot guarantee that the website and any associated services will remain uninterrupted or be error free.

Providing Infoshare+ with your information indicates that you agree to use processing your personal information for relevant targeted communications to you promoting our services.   1. Liability

There are certain liabilities which we cannot exclude by law and nothing in these general terms and conditions limits our liability for personal injury or death caused by our negligence or for fraud.

We are only responsible for losses that are a natural, foreseeable consequence of our breach of these general terms and conditions. We will not be liable to you if we are prevented or delayed from complying with our obligations under these general terms and conditions by anything you (or anyone acting on your behalf) does or fails to do or due to events which are beyond our reasonable control.

In any event we will not be liable for any losses related to any business of yours including (without limitation) lost data, lost profits, lost revenues or business interruption.

Although every effort is made to ensure the accuracy of information provided on our website and in the publications, Infoshare+ accept no responsibility or any liability for any damages, third party claims, or any future costs pursuant to relying on the information provided.

All other liability of Infoshare+ is limited to an amount equal to the relevant annual subscription fee.

Late Payment

If your payment is not received within 30 days and you have already received access to the products you ordered from us, you must immediately pay for the products for the applicable minimum term or renewal term and immediately cease using the products in accordance with the instructions that we provide to you, which may include charges for any and all damage to (or other adverse interference with) any products that are the subject of an unpaid order, including but not limited to any interest that may have accrued as per the Late Payment of Commercial Debts (Interest) Act 1998. If you do not do this within 30 days of the date on which we cancel your order, we reserve the right to seek an injunctive order to prevent you from continuing to use the products and charge you for any and all costs of such an order.

  1. General

We may update or amend these website terms and conditions of sale from time to time to comply with law or to meet our changing business requirements, without notice to you. Any updates or amendments will be posted on the website.

These general terms and conditions of sale supersede any other general terms and conditions of sale previously published by us and any other representations or statements made by us to you whether oral, written or otherwise.

You may not assign or sub-contract any of your rights or obligations under these of website terms and conditions of sale to any third party unless we agree in writing.

We may assign, transfer or sub-contract any of our rights or obligations under these general terms and conditions of sale to any third party at our discretion.

No relaxation or delay by us in exercising any right or remedy under these general terms and conditions of sale will operate as waiver of that right or remedy or will affect our ability to subsequently exercise that right or remedy. Any waiver must be agreed by us in writing.

If any of these general terms and conditions of sale are found to be illegal, invalid or unenforceable by any court of competent jurisdiction, the rest of the general terms and conditions of sale will remain in full force and effect.

Only you and we are entitled to enforce these general terms and conditions of sale. No third party is entitled to enforce any of these general terms and conditions of sale, whether by virtue of the Contracts (Rights of Third Parties) Act 1999 or otherwise.

These general terms and conditions of sale are governed by English law. In the event of any matter or dispute arising out of or in connection with these general terms and conditions of sale, you and we will submit to the exclusive jurisdiction of the English courts.
